Terms of Service

Plain English summary: Verso is a tool that helps you generate ads. You're responsible for what you do with the ads we generate. We charge subscription fees. You can cancel anytime. We don't own the ads you generate — you do. Don't use Verso for illegal stuff. If something goes badly wrong on our end, our liability is capped at what you paid us. Disputes are handled under Delaware law unless you live in the EU, in which case your local consumer law applies.

1. Who we are

Verso ("Verso", "we", "us", "our") is a software-as-a-service product operated by Scalesys SRL, a company registered in Romania at [REGISTERED ADDRESS PLACEHOLDER]. You can contact us at info@useverso.io.

These Terms of Service ("Terms") are a binding agreement between you ("you", "your", or "Customer") and Scalesys SRL governing your use of Verso (the "Service"). By creating an account, accessing, or using the Service, you agree to these Terms. If you don't agree, don't use the Service.

2. The Service

Verso helps you generate, refine, and manage advertising creative ("Ads"), brand assets, and related content. The Service uses third-party AI providers (currently Anthropic and Google) to produce its outputs. You can access the Service through a web browser at useverso.io and related domains.

We may modify, add, or remove features at any time. We'll make reasonable efforts to give notice for material changes that affect paying users.

3. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to enter into a binding contract to use Verso. If you're using Verso on behalf of a company, you represent that you have authority to bind that company to these Terms.

4. Your account

You're responsible for:

  • Keeping your login credentials secure
  • All activity that happens under your account
  • Providing accurate information at signup and keeping it current
  • Notifying us at info@useverso.io if you suspect unauthorized access

5. Plans, billing, and cancellation

5.1 Free tier and paid plans

Verso offers a free tier and several paid subscription tiers. Quotas, features, and pricing are shown in the in-app pricing page and may change with reasonable notice.

5.2 Billing

Paid plans are billed in advance on a monthly recurring basis through Stripe, our payment processor. By subscribing, you authorize us (via Stripe) to charge your payment method for the subscription fee plus any applicable taxes.

5.3 Failed payments

If a payment fails, we'll attempt to retry it according to Stripe's smart retry logic. You'll receive an email notification. If your payment method remains invalid after three days, your account may be downgraded to the free tier or suspended.

5.4 Cancellation and refunds

You can cancel your subscription anytime through the billing portal in your account. Cancellations take effect at the end of the current billing period — you retain access until then. We don't offer refunds for partial billing periods or unused quota, except where required by law (notably EU consumer protection law, which may grant you a 14-day withdrawal right; see Section 14).

5.5 Price changes

We may change subscription prices with at least 30 days' notice. If you don't agree to a price change, you may cancel before it takes effect.

6. Acceptable use

You agree not to use Verso to:

  • Generate content that is illegal, defamatory, fraudulent, infringing, hateful, harassing, or sexually explicit involving minors
  • Impersonate a real person or organization without authorization
  • Generate or distribute misinformation, disinformation, or political deepfakes
  • Reverse-engineer, decompile, or attempt to access our source code or AI model weights
  • Scrape the Service, abuse our API beyond intended use, or attempt to circumvent quotas
  • Resell or sublicense the Service without our written permission
  • Use the Service to train another AI model

We may suspend or terminate your account if we reasonably believe you're violating these rules.

7. Your content and our outputs

7.1 Your content

"Customer Content" means anything you submit to Verso: brand information, product details, reference images, prompts, performance data, etc. You retain ownership of Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to use Customer Content solely to provide the Service to you.

7.2 Generated outputs

"Outputs" means ads, scripts, copy, and other content the Service generates for you. You own the Outputs, subject to the rights of third parties (e.g. if you upload a copyrighted reference, the Output may incorporate elements you don't have rights to redistribute).

Because AI outputs aren't always unique, similar outputs may be generated for other users. You shouldn't assume Outputs are exclusive to you.

7.3 Responsibility for Outputs

You're responsible for reviewing Outputs before publishing or otherwise using them. AI can produce content that is inaccurate, biased, or infringing. You must verify accuracy and legality before using Outputs commercially.

8. Intellectual property

The Verso software, branding, design, and documentation are owned by Scalesys SRL or our licensors. We grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription, subject to these Terms.

9. Third-party services

Verso uses third-party services to function, including:

  • Clerk for authentication
  • Stripe for payment processing
  • Anthropic and Google for AI generation
  • Render for hosting
  • Resend for transactional email

By using Verso, you also agree to these providers' own terms. We don't control their services and aren't responsible for their availability or behavior.

10. Privacy

Our handling of your personal data is described in our Privacy Policy, which forms part of these Terms.

11. Service availability

We aim to keep Verso available 24/7 but don't guarantee uninterrupted service. We may need to perform maintenance, and our underlying providers may have outages. We're not liable for downtime caused by factors outside our reasonable control.

12. Disclaimers

VERSO IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.

We don't guarantee that Outputs will be accurate, profitable, comply with platform policies (Meta, Google, TikTok, etc.), or generate any particular advertising result.

13. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM, OR (B) $100 USD. WE'RE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION).

This limitation doesn't apply to liability that can't be limited under applicable law (such as gross negligence, willful misconduct, or in some jurisdictions, consumer protection rules).

14. EU consumer rights

If you're a consumer (not a business) located in the European Union or European Economic Area, you have certain rights that take precedence over conflicting provisions of these Terms, including:

  • A 14-day right of withdrawal from the date you subscribe to a paid plan, unless you've actively used the Service during that period (in which case the right may be reduced or waived per Article 16(m) of the EU Consumer Rights Directive)
  • The right to be subject to the consumer protection law of your country of residence for matters of mandatory law
  • The right to seek out-of-court resolution via the EU Online Dispute Resolution platform at ec.europa.eu/consumers/odr

Nothing in these Terms limits your rights as a consumer under mandatory law.

15. Governing law and disputes

For Customers who are businesses or located outside the EU/EEA, these Terms are governed by the laws of the State of Delaware, USA, without regard to its conflict-of-law rules. Disputes will be resolved in the state and federal courts located in Wilmington, Delaware.

For Customers who are consumers in the EU/EEA, mandatory consumer protection laws of your country of residence apply, and you may bring disputes in the courts of your jurisdiction.

16. Termination

You may stop using Verso at any time by canceling your subscription. We may suspend or terminate your account if you breach these Terms, for security reasons, or if required by law. On termination, your access ends; we'll retain your data per our Privacy Policy retention schedule and then delete it.

17. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated via email and/or in-app notice at least 14 days before they take effect. Continued use after changes constitutes acceptance.

18. Miscellaneous

If any provision of these Terms is unenforceable, the rest remain in effect. These Terms are the complete agreement between you and us regarding the Service. You may not assign them; we may assign them in connection with a merger or sale of our business.
